These terms govern Your use of the Website and will form a legally binding agreement between You (“User” or “You”) and the operator of the Website whenever You’ll be buying anything on the Website.

If You have not read and/or understood the provisions of these Terms, We recommend that You stop using the Website and refrain from making any purchases via the Website.

1. GENERAL INFORMATION

Whenever You will be buying anything on the Website You will be entering into a contractual relationship with Us and this contractual relationship shall be bound and determined by these Terms and applicable laws.

1.2. Please note that all purchases that You will make on the Website will be sent to You from one of Our fulfilment centres, which address will not match Our office address. If You want to return a product – please do not send it to Our office address as We will not be able to accept it. All returns should be sent to Our fulfillment center – for more detailed information about returns please see Our Return Policy.

1.3. In order to use the Website and make any purchase on the Website You must meet the following minimal requirements:

(a) You have read these Terms and agree to be bound by them;

(b) You are of legal age to use the Website and/or to enter into a remote contract via online means, as required by Your local laws;

(c) You are using the Website for Your own personal interest and do not seek to use the Website for the interest of any other business entity or subject, regardless of it being a natural or a legal person.

1.4. Please note that the Website is intended and designed for adult users only. The Website is not and will never be intended for use by children or minors.

1.6. We have the right to prohibit You from accessing and using the Website or any of its features if We have a reason to believe that You do not comply with the requirements set out in Clause 1.3. above or if We have a reason to believe that You are in breach of any other provision of these Terms.

1.7. Please note that most of Our Goods are manufactured and will be delivered to You from China. Thus depending on the laws applicable in the country of Your residence, Your purchased Goods might be subject to import duties, sales or VAT tax, and/or other taxes.

2. OUR GOODS AND SERVICES

2.1. The Website is dedicated to selling Ryoko consumer electronic goods (“Goods”) and supplementary mobile internet data plan services (“Services”).

2.2. Please note that the Goods or Services available for purchase on the Website are not designed or intended to be used by children. Please do not give the Goods or Services You purchase on Our Websites to minors without Your attendance.

2.3. Please note that Our Goods and Services are not designed and are not suitable for industrial, commercial or professional use. We sell Our Goods and Services for personal use only.

2.4. You can find specifications, detailed descriptions, important usage information and answers to other questions that You might have about the Goods or Services on the FAQ section of the Website here: https://ryokorouter.com/contact. Please make sure that You have carefully read the descriptions of the main properties of the Goods and Services that You wish to acquire from Us, before placing Your purchase request on the Website. Also, You can read about key properties of Our Goods and Services on these Terms below.

Ryoko Portable WiFi Router Key Properties

2.5. Ryoko portable wireless WiFi router (“Ryoko”) is an electronic device designed to be used as a portable WiFi router or portable internet hotspot to which You can connect up to 10 devices at one time. You can use Ryoko as a wifi router to transmit an internet connection to any other device that has WiFi connection capabilities. In order to use all functionalities of the Ryoko device, You must install a SIM card with internet connectivity to the device.

2.6. Ryoko is compatible with most SIM cards that have a 4G connection, however, please note that not all SIM cards from all operators will work in every country.

2.7. Ryoko portable wireless WiFi router is an electronic device containing a lithium battery, so it will require charging from time to time. The battery life of Ryoko will depend on the intensity of the use of the device. Together with Ryoko, You will receive a cable for charging the device. Please note that the use of inappropriate charging cables might result in battery failure or decreased battery life.

Other Ryoko Products

2.8. You can also buy accessories, or mobile internet data plan Services designed to enhance Your experience with the Ryoko device on Our Website. These additional Goods are offered to ensure You get the most out of Your Ryoko portable wireless WiFi router.

2.9. Accessories offered on Our Website are compatible with Ryoko devices. Please note that the use of other accessories that You purchase from other vendors may not be compatible with Ryoko devices and even damage Your Ryoko product irreparably. Please note that You may lose Your Ryoko warranty if it gets damaged due to the use of third party accessories (such as chargers).

Mobile Internet Data Plan Services

2.10. You can purchase mobile internet data plan Services as a standalone service exclusively when using the Viaota SIM card provided by Us. The Viaota SIM card will always be included with the purchase of the Ryoko portable wireless WiFi Router. Our mobile internet data plan Services are designed to work solely with the provided Viaota SIM card. While the Ryoko device is compatible with other SIM cards that support 4G, the mobile internet data plan Services offered by Us will not be applicable if another SIM card is used. For the most up-to-date information about Viaota Services, Service plans, and other relevant details, please visit the Viaota website at https://viaota.com/

2.11. To start using Viaota mobile internet data plan Services You must activate the Viaota SIM card. The Viaota SIM card must be activated within two months from receiving unless a longer activation date would be specified on the package of the Viaota SIM card. If You fail to activate Your Viaota SIM card within the specified time, the card will be automatically deactivated without the possibility to activate the same card again and You will need to order a new Viaota SIM card (might be subject to additional fees) in order to use the mobile internet Services.

2.12. The mobile internet data plan Services will become available to You once You activate the Viaota SIM card. Detailed instructions on how to activate Your Viaota SIM card will be provided together with the Viaota SIM card package. Once the Viaota SIM card is activated, You will be able to use the Services immediately but not later than within 48 hours after the activation is complete. If You are having any issues with the activation of Your Viaota SIM card or trouble with using the Services, please contact Our customer support.

2.13. The mobile internet data plan Services are provided and charged in accordance with the prices and tariffs indicated on the Viaota website or as shown on the Website at the time of Your purchase, unless otherwise stated on the specific purchase page on which You have made Your purchase.

2.14. Please note that You will receive Your Viaota SIM card together with Your Ryoko portable wireless WiFi router device, and Your Viaota SIM card will come with 500 megabytes of prepaid data available for You for 30 days from activation of the SIM card, unless You purchase mobile internet data plan Services that include more data. Once You have used or Your prepaid data on the SIM card has expired, You can either top up the SIM card using Viaota top-up services, purchase internet data plan Subscription or You can use any other SIM card that supports 4G connection.

Subscription

2.15. If You order a recurring payment plan for accessing mobile internet data plan Services (“Subscription”) You will be billed monthly, every 6 months, or at another frequency depending on the frequency of the Subscription plan You selected at the time of Your purchase. The Subscription fee will be withdrawn from Your credit or debit card which You will provide upon placing Your order on the Website.

2.16. Please note, that the Subscription will remain active until canceled. This means Your Subscription will automatically renew at the end of each billing period unless You cancel it before the date on which the current Subscription period ends and the next billing cycle begins (“Renewal Date”). The Subscription fee will be charged using the payment method You provided unless You update or cancel Your Subscription before the Renewal Date.

2.17. Whenever You will reach or exceed Your mobile internet data plan usage limits Your Services shall be suspended until the next recurring payment is received. You can always purchase more mobile internet data using Our Viaota top-up services or update Your Subscription to the one that provides more mobile internet data anytime.

2.18. If We are unable to charge Your credit/debit card for Your chosen Subscription or Service plan, We will limit Your access to Services until the payment is received. If You do not pay for Your Subscription for more than 3 months (90 days) Your Viaota SIM card might be suspended. If You wish to activate Your suspended Viaota SIM card, additional reactivation fees might apply. If You don’t use Your Viaota SIM card and do not pay the Service fees for more than 6 months (180 days), Your Viaota SIM card will be irrevocably canceled without the possibility to reactivate.

2.19. If due to Ryoko’s fault the consumer was not able to use Services or if the User was incorrectly charged, Ryoko undertakes to provide the User with Services that he/she was not able to use, extend the term of Services, or, in case of incorrect charging, reimburse the relevant amounts by transferring it to the Viaota Card account. To ensure proper resolution of the situation, User should submit claims with regards to the Services provided and payments made no later than 6 (six) months from the event on which the claim is based. This helps to ensure timely and efficient resolution of claims, allowing Us to provide the best possible service while maintaining accurate and reliable records.

2.20. If You decide to terminate Your Services, whether mobile internet data plan Services or a Subscription, any unused amounts of mobile internet data will not be exchanged for cash, refunded to You, or transferred. Once You submit a request to terminate Services, You will still be able to use the Services for the then-period You have already paid, as the termination will take effect at the next Renewal Date.

2.21. If You wish to terminate Your Subscription for the mobile internet data plan Services, please contact Our customer support team by filling out the Contact Form. Please note that if You terminate Your Subscription after a recurring payment has been made, the termination will take effect at the end of the ten-current paid period. To avoid additional charges, ensure You cancel Your Subscription before the next recurring payment date.

2.22. We reserve the right to change the price of Subscription plans at any time. If the price of Your Subscription changes, We will notify You at least 14 days before the change takes effect. If You do not agree to the price change, You may cancel Your Subscription before the new price takes effect.

2.23. Ryoko strives to guarantee that its Services will be available 95% of the time. Please note, that availability may be subject to factors beyond Ryoko control, including, but not limited to, technical maintenance, outages and unforeseen technical issues. All service disruptions in the Viaota network are eliminated within one business day or as soon as a failure message is received. However, please note that for unlimited mobile internet data plan Subscription users internet speed throttling will be applied. That means that You will receive 15 GB of data at full speed, after which the speed will be reduced to 256 kbps for the remainder of the 1-month cycle.

Fair Use

2.24. Mobile internet data plan Services are intended for fair and personal use only, therefore all use of Services for industrial or commercial purposes, save for the User's professional needs, are considered unfair. Consequently, without prejudice to other statements in these Terms, the following actions will be considered as unfair use of Services:

(a) the uploading or downloading of unreasonably high volumes of data, which is not in line with the normal consumption habits of an average consumer and is not similar to the rational use of Services for personal needs;

(b) interference with Our ability to provide the Services to You or to other users, or the use of Services places and overly large burden on the network;

(c) data consumption is not characteristic of a typical personal user of the Services.

2.25. If We have any reason to believe that the User uses the Services unfairly, We reserve the right to restrict such use of Services by restricting Your Services without a refund and by implementing preventative measures, such as, reducing internet speed, reducing Services uptime, or under extraordinary circumstances – terminating the Services.

2.26. For clarify purposes, We have complete discretion in deciding whether and why to restrict or suspend Services. Data collected from the User or other users of the Services regarding the usage of Services is sufficient to determine whether the Services have been used unfairly.

2.27. If We continue providing Services, this does not mean We have reviewed or approved any use of the Services.

2.28. Ryoko has the right to cancel the Services without a refund in cases when the user abuses the Services by using Services for other profit or commercial purposes.

3. PRICING, PAYMENTS AND CHARGES

3.1. The final price, inclusive of all taxes and fees for the Goods and Services shall be displayed on the check-out page, on which You will be able to make the purchase. Please note that the price on the check-out page does not include any import fees or duties which would be applicable by Your local customs.

3.2. Prices for Goods and Services displayed on the Website might be subject to change. We may apply discounts or reduce prices from time to time. Please note that changes to Subscription prices are outlined in Section 2.22, which specifies Our right to modify Subscription pricing with a 14 day notice.

3.3. Prices for the Subscription Services will be provided on the checkout page at the time of purchase. If Your initial payment for the Subscription will be billed at a discounted rate, all subsequent recurring payments will be billed at the standard, non-discounted rate, as displayed at the time of purchase, unless provided otherwise on the checkout page at the time of purchase. However, We reserve the right to apply additional discounts to Your recurring payments.

3.4. We reserve the right to modify or discontinue further sales of any Goods. We will not be liable to You or any third-party for any modification, price change, suspension, or discontinuance of the sale of Goods.

3.5. Please note that most of the Goods that are available for purchase on the Website are sent to You from Our warehouses located in China. Thus, depending on the laws applicable in the country of Your residence, Your purchased Goods might be subject to import.

3.6. The prices of Goods and/or Services displayed on the Website may include additional taxes, such as sales tax. If applicable, these taxes will be explicitly shown on the checkout page at the time of Your purchase. At checkout, taxes will be calculated and applied based on Your delivery address, and You will pay these taxes as part of the total purchase price.

3.7. Please note that We will never apply any conversion rates or charges related to Your chosen payment method. However, some banks apply conversion rates for outgoing payments and international transfers – thus, We are not responsible for any bank fees or conversion rates that Your bank would apply for any payment made to Us. If You notice any differences between the product prices on Our Website or purchase receipt and Your bank account statement, please refer to Your bank for detailed explanation of the additional charges.

3.8. We accept payments by credit card, PayPal and other electronic payments only. We will not accept checks, cash or other means for payment, except if “cash on delivery” service would be available in Your country (if “cash on delivery” is available at Your country, You will be informed about such option on the check-out page at the time of purchase).

4. Discount codes

When you place an order using the Discount code, the following terms and conditions also apply:

4.1. Each discount code is limited to one use per customer while stocks last and cannot be combined with any other discount code or discounts unless explicitly stated. Only one discount code can be applied per order. The company reserves the right to modify these usage limitations at any time without prior notice.

4.2. We do not guarantee the availability, functionality, or accuracy of any discount codes. All discount codes are provided "as is" without any warranties. All discount codes include an expiration date, after which the code will no longer be valid. The expiration date is specified at the time of issuance. We reserve the right to modify, suspend, or terminate any discount code or coupon program at any time without prior notice. We also reserve the right to cancel or refuse any order if we suspect misuse of a discount code or other promotional activity in violation of these terms.

4.3. Website shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use discount codes, including but not limited to technical issues or unauthorized access.

4.4. You must enter the code sent to you when placing your order online during checkout. The discount will be applied to eligible products or services in the order and this will be shown only after the purchase is made.

4.5. Discount codes may require a minimum purchase amount and may only apply to specific products as detailed in the promotional offer. Some codes may not be valid for shipping or taxes.

4.6. You are prohibited from engaging in activities such as placing multiple orders to exploit discounts, altering discount codes, or publicly sharing discount codes. Any detected fraudulent use or abuse of discount codes may result in forfeiture of discounts, and potential legal action.

4.7. Discount codes are issued to individual users and are non-transferable. Sharing or distributing discount codes to others is prohibited. Reselling, redistributing, or otherwise making discount codes available is strictly forbidden. Discount codes obtained through unauthorized third-party platforms or resellers may be deemed invalid and cannot be used.

4.8. In the event of part of the order being returned, the monetary value returned will be the value of the item/s at the time of the transaction, ie: with discount applied.

4.9. Discount codes are available to users who have received the discount code to their email address or other marketing channels and are at least 18 years of age. Certain promotions may be limited to new customers or specific geographic locations as indicated in the promotional materials.

4.10. We reserve the right to decline orders where, in its opinion, a promotion code is invalid.

5. DELIVERY

5.1. Once You have placed Your order on the Website and made the payment, We will process Your order within 1-3 business days. After Your order is processed You should receive the shipment within 4-14 business days if shipping will not be affected by natural occurrences as outlined in Section 5.3. If You don’t receive Your shipment within 4-14 business days please contact Our customer support.

5.2. All Goods purchased on Our Website will be delivered to You by EMS, DHL or other similar couriers. After We finish processing Your order, We will send You confirmation letter containing Your shipment tracking number.

5.3. Please note that the shipping terms may be affected by customs, natural occurrences, transfers to the local carrier in Your country or air and ground transportation strikes or delays. We will be not responsible for delays if the shipment will be delayed due to the unforeseen aforementioned reasons.

6. RETURNS & REFUNDS

6.1. If You are unhappy with Your purchased Goods You may return unused and unpacked physical items and get a refund, exchange or store credit within 30 days from the delivery date. The 30-day return term will expire after 30 days from the day on which You, or a third party other than the carrier indicated by You, acquires physical possession of the purchased Goods.

6.2. To exercise the right to withdrawal and return Your purchased Goods, You must contact Our customer support team by filling an online contact form at https://ryokorouter.com/contact. After You contact Our support team, You will be provided with a return code and return address – please note that We will only accept returning Goods that will be sent with the provided return code and delivered to the provided return address.

6.3. To meet the return deadline (30 days) You have to contact Us and send the returning Goods to Us within 30 days from receiving the Goods.

6.4. If You withdraw from this contract, We shall reimburse to You all payments received from You, without undue delay and in any event not later than within 14 days from the day on which We receive the returning Goods from You. We will make the refund by using the same means of payment as You used for the initial transaction.

6.5. Please note that We will only accept the returned Goods if it was not used, damaged and sent back to Us in the original package. If We determine that the returned Goods were used but still in an operable and re-sellable condition, We might still make a refund to You, but You will be liable for any diminished value of the Goods resulting from handling the Goods. Thus, if We found that the returned product was used, We reserve the right to not accept the return and not to issue the refund.

6.6. Please note that if You want to return Goods bought on the Website You will have to cover the shipping costs which will not be compensated by Us.

6.7. Please note that We will only accept returned Goods and make refund for them if they will be returned to the address provided by Our customer support and will have the return merchandise authorisation code (“RMA”) placed on the returning shipment. Please do not send any returning Goods to Our office address as We won’t be able to accept them. For more information, please check https://ryokorouter.com/return.

6.8. Please note that shipping costs are not refundable. We issue refunds for the purchased Goods, but NOT for the order's shipping costs.

6.9. If a purchase made using a discount code is returned, the refund will be processed based on the discounted price paid by the customer. The original discount applied at the time of purchase will not be refunded.

6.10. If a free product is included in an order as a result of using a promotional code, the customer is required to return the free item along with all purchased items to be eligible for a full refund. Failure to return the complimentary product will render the entire order ineligible for a refund. You will be responsible for the return shipping costs.

7. WARRANTY

7.1. If You wish to return a defective item please contact Our customer support by filling an online contact form at https://ryokorouter.com/contact. When You contact Our customer support with a warranty claim please be prepared to provide upon request: (1) photographs of the defective item; (2) Your order ID and purchase confirmation letter or payment receipt; (3) a brief description of the defect.

7.2. Our Services conform to the terms for the entire duration of Your contract. In the event that the Service does not conform to the contract during the warranty period, You are entitled to request a remedy, as outlined in Section 2.20 above. Please note, the warranty does not cover issues arising from factors outside of Our control, such as network coverage limitations due to Your location or improper use of the Service. If You experience any issues with the Service, please notify Us as soon as possible, and We will work to resolve the problem promptly.

8. PERSONAL DATA AND CONTACTING

8.1. We take necessary precautions and follow industry best practices as well as all requirements set by applicable laws to protect Your personal information from being inappropriately lost, misused, accessed, disclosed, altered or destroyed.

8.3. Please note that We may contact You via phone or email if We need to confirm any details of Your order or if Your order request was not processed successfully due to technical matters. If Your order was not successful due to payment processing errors, We might send You a text message or email with a reminder to carry out necessary actions.

8.4. If You choose to receive promotional messages from Us via Short Message Service, either through Our Website or by sending Us Your opt-in, You are providing Your prior express written consent to receive recurring marketing or promotional messages from Us (“SMS”) sent via an automatic telephone dialing system.

8.5. You can unsubscribe from receiving promotional SMS from Us at any time by replying “STOP”, “END” or “CANCEL” to Our SMS. Once We receive Your opt-out request We will stop sending You any SMS immediately. If You are unable to opt-out or need additional information, please contact Our customer support by email or reply “HELP” to Our SMS and someone from Our team will contact You within 1-2 business days.

8.6. Your wireless service provider’s messaging and data plans may apply to Our confirmation text messages and any subsequent text messages, depending on Your individual data plan provided by Your wireless service provider. Please consult Your mobile operator to determine the charges for retrieving data, sending and receiving SMS. Under no circumstances will We or Our affiliates be responsible for any SMS or cell phone charges incurred by You or anyone who has access to Your cell phone or phone number. Neither We nor the mobile network operators are liable for delays in the receipt or non-delivery of SMS.

9. RULES OF CONDUCT

9.1. Please note that Our Goods or Services are sold for personal use only. By agreeing with these Terms You confirm that You will only buy Our Goods and Services for personal use.

9.2. You may not use Our Goods or Services for any illegal or unauthorized purpose nor may You, in the use of the Website, violate any laws. All contents of the Website and the contents of all materials received from Us (including graphic designs and other contents) and the relevant parts of the Website belong to the ownership of ORIAVA INC and are protected by the copyright laws. Any use of any copyrights for purposes other than personal use, without Our license, constitutes a breach of copyright.

9.3. We have the right, but not obligation, to investigate any illegal and/or unauthorized use of the Website and take appropriate legal action, including without limitation, civil, and injunctive relief if We have a reason to believe that You are violating these Terms or applicable laws. While using the Website, You must:

(a) Not use the Website or any of its contents for any illegal purpose, or in violation of any local, state, national, or international law;

(b) Not violate or encourage others to violate the rights of third parties, including intellectual property rights;

(c) Comply with all policies posted on the Website;

(d) Not transfer, legally or factually, Your registered account to another person without Our written consent;

(e) Provide honest and accurate information to Us;

(f) Not use the Website or any of its contents for any commercial purpose, including distribution of any advertising or solicitation;
